1. Scope
These Terms of Sale apply to all quotations, orders and supplies of goods by SBYKSF Private Limited (trading as SKE Bharat) (“the Seller”) to the buyer (“you”), whether placed online, by email, phone or purchase order. A written quotation may contain additional or different terms; where it does, the quotation prevails.
2. Prices and GST
Prices are in Indian rupees and exclude Goods and Services Tax (GST) unless stated. GST is added at the applicable rate and shown on the invoice and at checkout. Prices may change without notice; the price confirmed in your order confirmation or quotation applies to that order.
3. Quotations
A quotation is valid for 30 days from its date unless it states otherwise, subject to availability. A quotation is an invitation to order, not a contract.
4. Orders and acceptance
Your order is an offer to buy. A contract is formed when we send an order confirmation (or, for online orders, when payment is confirmed and we acknowledge the order). We may decline an order or cancel it for reasons such as stock unavailability, a pricing error or inability to meet the specification, in which case any payment made is refunded in full.
5. Payment
Online orders are paid at checkout through our payment partner. For quotations, payment terms are stated in the quotation; unless agreed otherwise, goods are released against advance payment. Ownership of goods passes to you only on receipt of full payment.
6. Invoicing
We issue GST tax invoices. Please provide your correct GSTIN, legal name and billing address when ordering; changes after invoicing may not be possible. Our GSTIN is 29AKCPY5996P1ZQ.
7. Delivery and risk
Delivery is as described in our Shipping & Delivery policy. Delivery dates are estimates. Risk in the goods passes to you on delivery to the carrier or to your premises, as stated in the order confirmation.
8. Inspection and claims
Please inspect goods on delivery and note visible damage on the delivery receipt. Report damage, shortage or a wrong item within 48 hours of delivery, with the order number and photographs, so we can claim against the carrier and resolve the matter.
9. Returns and cancellation
Returns, refunds and cancellations are governed by our Returns & Refunds policy. Items made or modified to your specification cannot be cancelled or returned once work has begun.
10. Warranty
Goods carry the manufacturer’s warranty as stated on the product, datasheet or quotation. Warranty does not cover damage from incorrect installation, misuse, unauthorised modification, abnormal supply conditions or fair wear. We will help you make a claim with the manufacturer, and where the defect is ours we will repair, replace or refund. Except as stated, all other warranties are excluded to the extent permitted by law.
11. Limitation of liability
To the extent permitted by law, our total liability for any claim relating to an order is limited to the price paid for the goods concerned, and we are not liable for indirect or consequential loss, loss of profit or production. Nothing limits liability that cannot be limited by law.
12. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, strikes, transport disruption, regulatory action or supplier failure.
13. Governing law and disputes
These terms are governed by Indian law. We will try to resolve any dispute through discussion first; failing that, the courts at Bangalore, Karnataka have exclusive jurisdiction.
